These General Terms & Conditions govern all commercial relations between Belgian Sweets Design SRL (BSD) and its professional customers. Placing an order implies full acceptance of these GTC, which prevail over any purchase terms of the customer unless otherwise agreed in writing by BSD.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

These GTC frame the sale of premium packaging and associated services (design, personalisation, logistics) offered by BSD to professionals of the chocolate, confectionery, biscuit, pastry and fine-food sectors. They apply to any order placed via our website, our showroom or our sales teams.<\/div><\/section>

02<\/span> Orders and quotations<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
Each quotation is valid for 30 days from its issue. Any order is firm and final upon receipt of the signed purchase order and the deposit. Minimum order quantities (MOQ) are indicated per reference and printing technique. Any change requested after validation may lead to a price and lead-time adjustment.<\/div><\/section>

03<\/span> Prices and tariff conditions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

Prices are stated in euros, excluding VAT, transport and any set-up, clich\u00e9, tooling or proof costs. The applicable VAT is the one in force on the invoicing date. BSD reserves the right to update its tariffs in the event of significant variation in raw-material or transport costs.<\/div><\/section>

04<\/span> Manufacturing and lead times<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
Lead times are given for information only and start from validation of the proof and payment of the deposit. Standard lead times are 5 working days for stocked references and 4 to 8 weeks for bespoke creations. A delay cannot give rise to cancellation or compensation, except in the event of gross fault by BSD.<\/div><\/section>

05<\/span> Payment terms<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

Unless otherwise agreed, a deposit of 30% to 50% is required at order; the balance is payable upon delivery or at 30 days from invoice date for customers with an open account. Any late payment automatically triggers interest at the Belgian legal rate plus surcharge, and a flat compensation of \u20ac40. BSD retains ownership of the goods until full payment.<\/div><\/section>

06<\/span> Transfer of risks and delivery<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

Unless otherwise agreed, deliveries are made under DAP Incoterm. Transfer of risks occurs upon handover of the goods to the carrier. The customer must check compliance and condition of the packages upon receipt and file any reservation with the carrier within 8 days.<\/div><\/section>

07<\/span> Warranties and compliance<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
BSD warrants the compliance of its products with the validated specifications and applicable food-contact standards. Our packaging is covered, depending on the range, by FSC, PEFC, BRCGS, ISO 9001, OK Compost and AFSCA certifications. The warranty does not apply in the event of non-compliant use, inadequate storage or modification of the product by the customer.<\/div><\/section>

08<\/span> Claims and returns<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

Any claim must be submitted in writing within 8 working days of receipt, together with photos and the delivery-note number. No return will be accepted without BSD’s prior written agreement. Personalised goods cannot be returned, except in the event of a proven non-conformity.<\/div><\/section>

09<\/span> Intellectual property of bespoke creations<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

Creations, mock-ups, plans and tooling developed by BSD in the context of a bespoke project remain the exclusive property of BSD until full payment and express written assignment. Files, logos and graphic elements provided by the customer remain their property; the customer warrants that it holds the rights required for their reproduction.<\/div><\/section>

10<\/span> Liability<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

BSD’s liability is limited to the amount of the relevant order. Indirect, intangible or loss-of-profit damages are excluded. BSD cannot be held liable for delays or impossibility of performance resulting from a case of force majeure.<\/div><\/section>

Each party undertakes to preserve the confidentiality of the information, projects, mock-ups and commercial data exchanged in the context of their cooperation, throughout the contractual relationship and for 3 years thereafter.<\/div><\/section>

12<\/span> Protection of personal data<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

BSD processes its customers’ personal data in compliance with the GDPR, solely for the purposes of commercial management and customer relations. The customer has a right of access, rectification, opposition and deletion, exercisable in writing at info@bsd.be.<\/div><\/section>

These GTC are governed by Belgian law. In the absence of amicable settlement, any dispute shall fall within the exclusive jurisdiction of the courts of Walloon Brabant (Belgium).<\/div><\/section><\/div>
